JOB DESCRIPTION
Looking out for company secretaries with company law and incorporation experience
The role is predominantly for entity remediation, legal documentation, supporting legal officers, account managers and company secretaries to release the entity in client portal and to ensure the data is properly documented and completed.
• Performs check in 5 Series, CARE and other databases to review the data and fetch the supporting documents.
• Complete the necessary workflows in 5 Series and update the CARE as needed.
• Coordinate with the Remediation Team Leads, Account Managers and DOs to complete the entity remediation.
• Reviews legal and management work for client companies (e.g. corporate documents such as directors and members resolutions, powers of attorney, principals indemnity letters, register of members and directors, shares and participation certificates, service agreements, certificates of incumbency, incorporation, liquidation and other type of legal documents).
• Coordinate specific job requests with within the remediation Team, Local office, and DOs.
• Fully understands the clients activities and makes sure that any action taken is consistent with the companys activities across functions (Compliance, Legal, Accounting and Tax) so that the transaction profile is in line with the key profile data.
• Review and highlight any missing documents, discrepancies by using proper descriptions.
• Responsible for the timely review of the remediation cases assigned to you on a day to day basis and ensure the completion with a strict deadline.
• Make sure that all the mandatory fields are checked before the entity is marked as ready to show on portal.
• Make sure all the pillar (Compliance, Legal, Accounting and Tax) specific fields are checked and validated before sending the consolidated questions to the reviewer.
• The information obtained from AMs and clients should be documented in CARE and the applicable workflows should be run in 5 Series.
• Assures that companies are capitalized, and that the management agreements are available in the clients files (if applicable).
• Ensures that Know Your Customer rules are adhered to the Amicorp AML Program Manual.
• Work in specific projects to be assigned by the Manager.
• Offers advice, knowledge, and experience to colleagues (if applicable).
